1. Acceptance of Terms
These Terms of Service (Terms) constitute a legally binding agreement between Qingdao Xiong Jia Shuai Network Technology Co., Ltd., operating as Bear Chief (we, our, or us), and you (you or User), governing your access to and use of our website bearchief.buzz (the Site) and any related technology consulting services we provide (collectively, the Services).
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use the Site or Services.
You represent that you are at least 18 years of age, or the age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract. If you are using the Site on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Material changes will be posted on this page with an updated effective date. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
2. Description of Services
Bear Chief provides technology consulting services including, but not limited to: computer systems design, cloud infrastructure architecture, data integration, cybersecurity advisory, artificial intelligence and machine learning consulting, and digital transformation services. The specific scope, deliverables, timeline, and fees for any engagement are set forth in a separate Statement of Work (SOW), Service Agreement, or Master Services Agreement executed between Bear Chief and the client.
We reserve the right to modify, suspend, or discontinue any aspect of the Site or Services, temporarily or permanently, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
The Site is provided on an as is and as available basis. We make no warranty that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
3. User Obligations and Conduct
By using the Site and Services, you agree to the following obligations:
3.1 Accurate Information
You agree to provide accurate, current, and complete information when using our contact forms or communicating with us, and to update such information as necessary to keep it accurate.
3.2 Lawful Use
You agree not to use the Site or Services for any purpose that is unlawful under the laws of the People’s Republic of China, your local jurisdiction, or applicable international law. Prohibited activities include, but are not limited to:

4. Intellectual Property
4.1 Our IP
Unless otherwise stated in a separate written agreement, all content, materials, and features available on the Site—including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, software, code, architecture diagrams, documentation, and the design and arrangement thereof—are the exclusive intellectual property of Qingdao Xiong Jia Shuai Network Technology Co., Ltd. and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws of the People’s Republic of China and international treaties.
The names Bear Chief, the Bear Chief logo, and all related product and service names are trademarks or registered trademarks of Qingdao Xiong Jia Shuai Network Technology Co., Ltd. You may not use any of our trademarks without our prior written consent.
4.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site and its content solely for your personal, non-commercial use in evaluating our Services. This license does not grant you any right to reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Site content without our express written permission.
4.3 User-Generated Content
If you submit inquiries, proposals, feedback, or other content to us through the Site, you retain ownership of your content. However, by submitting it, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process that content solely for the purpose of responding to your inquiry or providing the requested Services.
4.4 Work Product
Ownership and licensing of deliverables, code, designs, documentation, and other work product created during a consulting engagement shall be governed by the terms of the specific Service Agreement or SOW executed between the parties. In the absence of such an agreement, Bear Chief retains all intellectual property rights in its pre-existing materials, methodologies, and tools, while any deliverables specifically created for a client shall be assigned as specified in writing.
5. Limitation of Liability
To the fullest extent permitted by applicable law, Qingdao Xiong Jia Shuai Network Technology Co., Ltd., its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages—including but not limited to loss of profits, revenue, data, goodwill, business interruption, or other intangible losses—arising out of or in connection with your use of, or inability to use, the Site or Services, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion or limitation of certain categories of damages, our liability shall be limited to the maximum extent permitted by law. To the extent our liability cannot be excluded, our total aggregate liability to you for all claims arising under or relating to these Terms or your use of the Site shall not exceed the greater of: (a) the amount you have paid to us for Services in the twelve months preceding the claim, or (b) one hundred United States dollars (USD $100.00).
The limitations in this section apply regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and survive any termination or expiration of these Terms.
6. Indemnification
You agree to defend, indemnify, and hold harmless Qingdao Xiong Jia Shuai Network Technology Co., Ltd., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your violation of these Terms.
- Your use of the Site or Services in a manner not authorized by these Terms.
- Your violation of any applicable law, regulation, or third-party right.
- Any content, materials, or information you submit or transmit through the Site.
- Your gross negligence, willful misconduct, or fraud.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate fully with our defense of such claim.
7. Termination
These Terms shall remain in full force and effect while you use the Site or Services. We may terminate or suspend your access to the Site and Services, in whole or in part, at any time, with or without cause, and with or without prior notice, in our sole discretion. Grounds for termination include but are not limited to:
- Breach of any provision of these Terms.
- Conduct that we believe, in our sole judgment, may harm our business, reputation, or other users.
- Extended periods of account inactivity (where applicable).
- Requests by law enforcement or other government agencies.
- Discontinuance or material modification of the Site or Services.
Upon termination, your right to access and use the Site and Services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.
You may terminate these Terms at any time by discontinuing your use of the Site and Services. Termination does not relieve you of any obligations that accrued prior to termination, including payment obligations under any separate Service Agreement.
8. Governing Law and Jurisdiction
These Terms, and any dispute arising out of or relating to them or your use of the Site or Services, shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts located in Qingdao, Shandong Province, People’s Republic of China. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.
If you access the Site or Services from outside the People’s Republic of China, you are responsible for compliance with all local laws applicable to your use. You agree that you will not use the Site or Services in any country or manner prohibited by applicable laws, including those of China, the United States, the European Union, or your own jurisdiction.
9. Dispute Resolution
9.1 Informal Resolution
We value our relationship with users and clients and prefer to resolve disputes amicably. Before initiating any formal legal action, you agree to first contact us at connect@bearchief.buzz and attempt to resolve the dispute informally. We will similarly endeavor to contact you and work toward a mutually satisfactory resolution. Both parties agree to engage in good-faith negotiations for a period of at least 60 days before pursuing any other remedy.
9.2 Arbitration
If the dispute cannot be resolved through informal negotiation within 60 days, either party may submit the dispute to binding arbitration administered by the Qingdao Arbitration Commission in accordance with its then-current arbitration rules. The arbitration shall be conducted in Qingdao, Shandong Province, in the English language (or Chinese, by mutual agreement), before a single arbitrator mutually selected by the parties or appointed by the commission if the parties cannot agree.
The arbitrator shall have the authority to award any relief that would be available in a court of competent jurisdiction, including injunctive relief, but shall not have the authority to award punitive damages except where permitted by applicable statute. The award rendered by the arbitrator shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
9.3 Class Action Waiver
To the fullest extent permitted by law, you agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate as a plaintiff or class member in any class action, class arbitration, or private attorney general action against Bear Chief.
9.4 Exceptions
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent immediate and irreparable harm, without first engaging in the informal dispute resolution process described above.
